Terms of Service

Please read these Terms of Service carefully before booking or using any services provided by Seabreeze Homekeeping Co. (Seabreeze Homekeeping LLC). By scheduling a cleaning or using our website at seabreezehomekeeping.com, you agree to be bound by these terms in full. If you do not agree, please do not book our services.

About Seabreeze Homekeeping Co.

Seabreeze Homekeeping Co., operating as Seabreeze Homekeeping LLC (“Seabreeze,” “we,” “us,” or “our”), is a professional residential homekeeping and cleaning company based in North Carolina. Our primary services are residential home cleaning and homekeeping. We also provide cleaning services for vacation rentals and short-term rental properties. All services are coordinated through a network of independent contractors. Our website is located at seabreezehomekeeping.com.

Independent Contractor Relationship

All cleaning services performed through Seabreeze Homekeeping Co. are carried out by independent contractors — not employees of Seabreeze Homekeeping Co. Our contractors operate as self-employed professionals engaged on a 1099 basis.

Seabreeze Homekeeping Co. establishes the service standards, operational policies, and procedures that all contractors are required to follow as a condition of working with us. However, Seabreeze Homekeeping Co. does not control the day-to-day methods or means by which contractors carry out their work, and does not provide contractors with employment benefits of any kind, including health insurance, retirement contributions, paid leave, or workers’ compensation coverage.

Seabreeze Homekeeping Co. requires all independent contractors to carry their own general liability insurance policy as a condition of engagement. However, Seabreeze Homekeeping Co. cannot guarantee, verify, or be held responsible for the active status, coverage limits, or validity of any individual contractor’s insurance policy at the time of service. Clients engage our services with the understanding that contractor insurance verification is not independently confirmed by Seabreeze Homekeeping Co.

By booking services through Seabreeze Homekeeping Co., clients acknowledge and accept this independent contractor structure.

Services Provided

Our primary service is residential homekeeping and cleaning. We also offer cleaning services for vacation rental and short-term rental properties. Specific services include:

  • Residential home cleaning — standard recurring, deep clean, and move-in/move-out
  • Homekeeping services as agreed in writing at the time of booking
  • Vacation rental and short-term rental (Airbnb, VRBO, etc.) turnover cleaning
  • Linen changes, restocking, and property preparation as confirmed in writing in advance
  • Any additional services confirmed in writing prior to the scheduled appointment

Services are performed according to the scope confirmed at the time of booking. Any changes to scope requested on the day of service may result in adjusted pricing, rescheduling, or refusal of the additional task.

Service Limitations — What Our Contractors Will Not Do

Please read this section carefully. These limitations are firm company policy. They exist to protect your property and the safety of our contractors. Booking our services constitutes your full acceptance of these limitations without exception.

No lifting or moving of objects — zero exceptions. Our contractors will not lift, move, reposition, or physically relocate any object, piece of furniture, appliance, décor item, or any other personal property in order to clean underneath, behind, or around it. This policy applies to all service types, all property sizes, and all items regardless of their size, weight, or perceived value. There are no exceptions to this rule.

Contractors will clean in and around items as they are positioned, including cleaning between and around small decorative items such as trinkets, picture frames, and tabletop objects — but will never pick up, slide, or move any item to access the surface beneath or behind it.

No handling of high-value or irreplaceable items. Our contractors will not handle, clean around, or assume responsibility for items of extraordinary monetary, sentimental, or irreplaceable value. This includes but is not limited to:

  • Fine art, sculptures, paintings, and original works
  • Antiques, heirlooms, and estate items
  • Jewelry, watches, gemstones, and precious metals
  • Cash, financial documents, passports, or sensitive personal records
  • Collectibles, memorabilia, or limited-edition items
  • Electronics, cameras, or specialty equipment
  • Any fragile, specialty, or delicate item requiring professional or specialized handling

Client responsibility — securing valuables before every appointment. Before each and every scheduled service, clients are solely responsible for one of the following:

  • Removing all high-value, fragile, or irreplaceable items from all areas to be cleaned, or
  • Storing them in a clearly designated, closed space that contractors are expressly instructed in writing to avoid entirely

Seabreeze Homekeeping Co. and its contractors accept no liability whatsoever for loss of, damage to, or claims relating to any item that was not properly secured or removed prior to the service appointment. This limitation applies regardless of whether the item was visible, disclosed, or undisclosed at the time of service.

Additional tasks contractors will not perform under any circumstances:

  • Cleaning of biohazardous materials, bodily fluids, or hazardous substances
  • Pest, rodent, or insect cleanup or removal
  • Exterior cleaning, pressure washing, or any outdoor work
  • Repairs, maintenance, installation, or handyman tasks of any kind
  • Laundry services, unless confirmed in writing prior to the appointment
  • Cleaning of structurally compromised, visibly unstable, or unsafe surfaces or items

Damage Reporting — Mandatory 24-Hour Policy

Time-critical: All damage claims — whether reported by the contractor or discovered by the client — must be reported to Seabreeze Homekeeping Co. within 24 hours of the service appointment end time. No exceptions. Claims submitted after this window are not eligible for review, remediation, or reimbursement under any circumstances.

Contractor obligations upon discovering damage. If a contractor discovers or accidentally causes damage during a service appointment, Seabreeze Homekeeping Co. policy requires the contractor to immediately:

  • Stop work in the affected area
  • Photograph the damage at the exact time of discovery — before the area is touched, moved, or disturbed further
  • Contact the Seabreeze Homekeeping Co. office to report the incident before leaving the property
  • Complete a written damage report on-site documenting the nature, location, and circumstances of the damage
  • Submit all photographic evidence and the completed damage report to Seabreeze Homekeeping Co. before departing the property

Client obligations for damage claims. If a client discovers damage after a service appointment, the client must:

  • Report the damage to Seabreeze Homekeeping Co. within 24 hours of the appointment end time
  • Provide clear photographic documentation of the damage taken at the time of discovery, before the item or area has been altered, cleaned, repaired, or disturbed in any way
  • Provide a written description of the damaged item, its approximate value, and its location in the property
  • Preserve the damaged item in its current condition and not repair, discard, alter, or dispose of it until Seabreeze Homekeeping Co. has confirmed in writing that documentation is complete

Damage claims submitted without photographic evidence, or submitted more than 24 hours after the service appointment end time, will not be considered. Seabreeze Homekeeping Co. cannot verify the state of a property or its contents after our contractors have departed and the space has been accessed or occupied by others.

Liability & Insurance

Seabreeze Homekeeping Co. is insured and bonded. Our liability for verified damage claims is governed by and limited to the coverage provided under our active general liability insurance policy in effect at the time of the incident.

Seabreeze Homekeeping Co. carries General Liability Insurance through Acord with a limit of $1,000,000 per occurrence. Additional policy details, including certificate of insurance, are available upon written request at [email protected].

Seabreeze Homekeeping Co. is expressly not liable for:

  • Damage to items not disclosed as high-value prior to the service appointment
  • Damage to items that were not properly secured or removed by the client per Section 04 of these Terms
  • Pre-existing damage, wear, deterioration, chips, cracks, or conditions present before the service appointment
  • Damage to items that are inherently fragile, improperly mounted, unstable, or in a state of disrepair
  • Items that shifted, tipped, or were displaced by circumstances not directly caused by contractor contact
  • Damage or loss reported more than 24 hours after the service appointment
  • Damage or loss for which no photographic documentation was provided at the time of discovery
  • Consequential, indirect, or incidental losses of any kind, including but not limited to lost rental income, guest booking cancellations, negative platform reviews, or short-term rental platform penalties

Our total liability for any single incident shall not exceed the per-occurrence limit of our active insurance policy at the time of the claim, regardless of the nature or stated value of the item involved.

Booking & Property Access

All bookings are managed through ZenMaid, our scheduling and client management platform. Appointments are subject to availability and confirmed by Seabreeze Homekeeping Co. via email or phone. Clients are responsible for ensuring contractors have clear, safe, and timely access to the property at the scheduled time. Access details — including entry codes, lockbox combinations, gate codes, and key information — are kept strictly confidential and used solely for the purpose of accessing the property to perform the agreed service.

If a contractor cannot access the property due to circumstances within the client’s control — including locked access points, missing or incorrect key information, alarm issues, or failure to respond — a lockout fee may be charged, or the appointment may be cancelled. The client remains responsible for the full service fee in the event of a client-caused no-access situation.

Cancellation & Rescheduling

  • 48+ hours notice: No charge. Full credit or free rescheduling.
  • 24–48 hours notice: 50% of the scheduled service fee will be charged.
  • Less than 24 hours notice / No-show: The full service fee will be charged.

Vacation rental and short-term rental turnover appointments may be subject to stricter cancellation terms due to guest arrival and checkout constraints. Where applicable, these terms will be specified in your individual written service agreement.

Payment & Failure to Pay

Payment is due at the time of service unless a separate billing arrangement has been confirmed in writing. We accept the following payment methods: check, Zelle, and Venmo. Recurring clients may be invoiced on an agreed billing cycle.

Late payments. Accounts with balances outstanding more than 30 days will be subject to a late fee of 1.5% of the outstanding balance per month (or the maximum rate permitted by North Carolina law, whichever is less), compounding monthly until the balance is paid in full.

Failure to pay. Failure to remit payment by the due date constitutes a material breach of these Terms. Seabreeze Homekeeping Co. reserves the right to take any or all of the following actions in the event of non-payment:

  • Immediately suspend all scheduled and future services without prior notice
  • Permanently discontinue service to the client
  • Refer the outstanding balance to a collections agency
  • Pursue the outstanding balance through civil legal action in the courts of North Carolina

In the event that Seabreeze Homekeeping Co. pursues legal action to recover an unpaid balance, the client agrees to reimburse Seabreeze Homekeeping Co. for all reasonable attorneys’ fees, court costs, and collection expenses incurred in connection with that recovery.

Disputed charges must be raised in writing within 10 days of the invoice date. Charges not disputed within this window are considered accepted by the client.

Satisfaction Guarantee

We stand behind every clean. If you are not satisfied with any area of your service, contact us within 24 hours of the appointment end time. We will assess the concern and, where appropriate, dispatch a contractor to re-clean the affected area at no additional charge. Concerns submitted more than 24 hours after the appointment are not eligible for remediation, as we cannot verify the condition of the space after the property has been occupied or accessed.

Health, Safety & Right to Refuse Service

Our contractors use professional-grade cleaning products. Please notify us of any allergies, sensitivities, or product restrictions before your appointment. We will make reasonable efforts to accommodate eco-friendly or fragrance-free product requests where available.

Seabreeze Homekeeping Co. reserves the right to refuse, pause, or discontinue service at any time if property conditions pose a health or safety risk to our contractors. This includes but is not limited to extreme biohazard conditions, active pest infestations, structural hazards, or threatening or hostile behavior toward contractors. The full service fee may still apply in such cases.

Seabreeze Homekeeping Co. also reserves the right to discontinue service to any client at any time, for any reason, with or without cause, and without prior notice. In the event of discontinuation initiated by Seabreeze Homekeeping Co., any prepaid amounts for unperformed services will be refunded.

All pets must be secured in a contained area during the entirety of each service appointment. Seabreeze Homekeeping Co. and its contractors are not liable for pets that escape, become injured, or cause injury during a service visit.

Waiver of Subrogation

To the fullest extent permitted by law, the client waives — and shall cause their homeowner’s insurance carrier, renter’s insurance carrier, or any other insurer to waive — all rights of subrogation against Seabreeze Homekeeping Co., its officers, owners, and independent contractors for any loss or damage covered or coverable by the client’s insurance policies, including but not limited to property damage, personal injury, or loss of contents.

By booking our services, the client agrees to notify their insurance carrier of this waiver and to obtain any endorsement necessary to give it full effect. Seabreeze Homekeeping Co. shall not be subject to any claim brought by a client’s insurer seeking to recover amounts paid out on a claim arising from services performed under these Terms.

Indemnification

To the fullest extent permitted by applicable law, the client agrees to defend, indemnify, and hold harmless Seabreeze Homekeeping Co., Seabreeze Homekeeping LLC, their owners, officers, and independent contractors from and against any and all claims, damages, losses, costs, and expenses — including reasonable attorneys’ fees — arising out of or resulting from:

  • The client’s own negligence, misrepresentation, or failure to fulfill obligations under these Terms
  • Hazardous, unsafe, or undisclosed conditions at the client’s property that were not communicated to Seabreeze Homekeeping Co. prior to the service appointment
  • The client’s failure to properly secure or remove high-value, fragile, or irreplaceable items as required by Section 04 of these Terms
  • Any claim brought by a third party — including guests, tenants, or platform users — arising from conditions at the client’s property unrelated to the direct actions of our contractors
  • Any breach of these Terms by the client

This indemnification obligation shall survive the termination or expiration of any service agreement between the client and Seabreeze Homekeeping Co.

Photo & Video Documentation Consent

By booking services with Seabreeze Homekeeping Co., clients grant Seabreeze Homekeeping Co. and its contractors permission to photograph or video record areas of the property for the following limited purposes:

  • Quality control and service documentation
  • Damage reporting and insurance claim documentation
  • Pre- and post-service condition records

Seabreeze Homekeeping Co. may also use anonymized or non-identifying images of completed cleaning work for marketing, social media, or portfolio purposes. No images that identify the client, disclose the property address, or reveal personally identifiable information will be used for marketing without the client’s explicit written consent.

Clients who do not wish to have their property photographed for any purpose must notify Seabreeze Homekeeping Co. in writing prior to their service appointment. Opting out of documentation does not affect your eligibility for service.

Dispute Resolution & Arbitration

In the event of any dispute, claim, or controversy arising from or relating to these Terms or the services provided by Seabreeze Homekeeping Co., the parties agree to first attempt to resolve the matter in good faith through direct communication. If the dispute cannot be resolved informally within 30 days of written notice, the parties agree to submit the matter to non-binding mediation before pursuing any further legal action.

If mediation is unsuccessful, the parties agree that any remaining dispute shall be resolved through binding arbitration in North Carolina, conducted by a mutually agreed-upon arbitrator and in accordance with applicable arbitration rules. The decision of the arbitrator shall be final and binding on both parties.

By booking our services, you waive your right to participate in any class action lawsuit or class-wide arbitration against Seabreeze Homekeeping Co. All claims must be brought on an individual basis.

Nothing in this section prevents either party from seeking emergency injunctive or equitable relief from a court of competent jurisdiction where necessary to prevent irreparable harm.

Force Majeure

Seabreeze Homekeeping Co. shall not be held liable for any failure or delay in performing services under these Terms where such failure or delay results from circumstances beyond our reasonable control. This includes but is not limited to:

  • Acts of God, including hurricanes, floods, severe storms, earthquakes, or other natural disasters
  • Public health emergencies, pandemics, or government-mandated closures
  • Power outages or utility failures affecting operations
  • Contractor illness, injury, or family emergency
  • Road closures, severe weather, or unsafe travel conditions
  • Any other event outside the reasonable control of Seabreeze Homekeeping Co.

In the event of a force majeure situation, Seabreeze Homekeeping Co. will make every reasonable effort to reschedule the affected appointment at the earliest available opportunity. No cancellation fees will be charged to either party for appointments cancelled due to a verified force majeure event. Prepaid amounts for unperformed services will be applied as a credit toward rescheduled service.

No Guarantee of Specific Results

Seabreeze Homekeeping Co. and its contractors will perform all services in a professional manner consistent with reasonable industry standards. However, we do not guarantee specific cleaning outcomes or results. Actual results may vary based on factors outside our control, including but not limited to:

  • The existing condition, age, or state of surfaces, fixtures, and materials in the property
  • The presence of stains, buildup, discoloration, or damage that predates the service appointment
  • The type, brand, or compatibility of cleaning products with specific surfaces or materials
  • Limitations imposed by our no-lift and no-move policy as described in Section 04
  • Time constraints inherent to the agreed scope of service

Seabreeze Homekeeping Co. makes no warranties, express or implied, regarding the outcome of any cleaning service beyond our commitment to perform work professionally and in accordance with these Terms. If you have concerns about specific surfaces or materials in your home, please communicate these to us in writing before your appointment so we can discuss appropriate expectations.

At-Will Service Relationship

Seabreeze Homekeeping Co. does not operate under contracts with its clients. All services are provided on a purely at-will basis. This means:

  • Either party — the client or Seabreeze Homekeeping Co. — may discontinue the service relationship at any time, for any reason or no reason, without penalty or obligation beyond amounts already owed for services rendered
  • No ongoing, recurring, or future service is guaranteed by Seabreeze Homekeeping Co. unless explicitly confirmed in writing for a specific appointment
  • Scheduling a recurring service does not create a contractual obligation on the part of Seabreeze Homekeeping Co. to continue that service indefinitely
  • These Terms of Service govern each individual service appointment and do not constitute a long-term service contract of any kind

Clients are not locked in, and neither are we. Our relationship is built on continued mutual satisfaction — not obligation.

Non-Solicitation of Contractors

Clients acknowledge that Seabreeze Homekeeping Co. invests significant time and resources in identifying, vetting, and training its independent contractors. Accordingly, clients agree that during the term of their service relationship with Seabreeze Homekeeping Co. and for a period of 24 months following the last service appointment, they will not directly solicit, hire, engage, or contract with any independent contractor introduced to them through Seabreeze Homekeeping Co. for cleaning, homekeeping, or any related services — whether as an employee, independent contractor, or in any other capacity.

This restriction applies regardless of whether the contractor approaches the client directly. If a client is approached by a Seabreeze contractor offering direct services, the client agrees to notify Seabreeze Homekeeping Co. promptly.

In the event of a breach of this clause, the client agrees to pay Seabreeze Homekeeping Co. a referral fee equal to six months of the client’s average monthly service fees as liquidated damages, which the parties agree is a reasonable estimate of the loss suffered and not a penalty.

Severability

If any provision of these Terms of Service is found to be invalid, unlawful, void, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be deemed severed from these Terms and shall not affect the validity or enforceability of the remaining provisions. The remaining Terms shall continue in full force and effect as if the invalid provision had never been included.

Electronic Agreement

By booking a service with Seabreeze Homekeeping Co. — whether online through ZenMaid, by phone, by text, or by email — the client acknowledges that they have read, understood, and agreed to be bound by these Terms of Service in their entirety. This electronic or verbal agreement carries the same legal weight and enforceability as a handwritten signature on a physical contract.

Clients do not need to sign a separate document to be bound by these Terms. The act of booking — in any form — constitutes full acceptance. These Terms are available at all times at seabreezehomekeeping.com/terms.

No Verbal Modifications

These Terms of Service may not be modified, amended, supplemented, or waived by any verbal communication, phone call, text message, or informal conversation between a client and any Seabreeze Homekeeping Co. contractor, owner, or representative.

Any modification to the agreed scope of services, pricing, scheduling terms, or these Terms themselves must be confirmed in writing — by email or through ZenMaid — by an authorized representative of Seabreeze Homekeeping Co. to be valid and enforceable. Verbal agreements or understandings not confirmed in writing are not binding on Seabreeze Homekeeping Co.

Pre-Existing Condition Documentation

As part of our standard service process, Seabreeze Homekeeping Co. contractors are authorized and encouraged to photograph or document pre-existing damage, wear, stains, or conditions observed at the property before beginning work. This documentation is made solely to protect both the client and Seabreeze Homekeeping Co. in the event of a dispute regarding the cause or timing of any damage.

Pre-existing condition photographs are retained in our client records and may be used as evidence in any damage claim review, insurance matter, or dispute resolution process. Clients consent to this documentation by booking our services. This documentation is separate from and in addition to the marketing and quality control photography consent described in Section 14.

Governing Law & Jurisdiction

These Terms of Service are governed exclusively by the laws of the State of North Carolina, without regard to its conflict of law provisions. Any dispute, claim, or controversy arising from or relating to these Terms or the services provided by Seabreeze Homekeeping Co. (Seabreeze Homekeeping LLC) shall be resolved exclusively in the state or federal courts located in North Carolina. By booking our services, you expressly consent to personal jurisdiction in North Carolina.

Entire Agreement

These Terms of Service, together with any written service agreement or booking confirmation, constitute the entire agreement between the client and Seabreeze Homekeeping Co. with respect to the services provided. These Terms supersede all prior communications, representations, or agreements, whether oral or written.

Changes to These Terms

Seabreeze Homekeeping Co. reserves the right to modify these Terms at any time. Updated terms will be posted at seabreezehomekeeping.com/terms with a revised effective date. Continued use of our services after changes are posted constitutes acceptance of the updated Terms.
